The Senate Commerce and Technology Committee heard Sen. Bray’s SB 443 enacting uniform business organization laws from the Uniform Business Organization Code, including the Uniform Model Registered Agents Act and the Uniform Model Entity Transactions Act. This bill repeals a lot of old law, and reorganizes existing law. It also adopts law consistent with current statutory concepts and practices already in place.
A technical amendment was adopted by consent. Former Justice Frank Sullivan on behalf of the Indiana Business Survey Commission and representatives from the Secretary of State’s Office and the Business Law Section of the Indiana State Bar Association testified in favor of the bill. The amended bill passed 6-0.
